Terms of Service

1. Service Description

GetShft is a B2B digital growth agency providing services including but not limited to: AI-powered lead generation, project management automation, hiring systems, sales administration, digital presence optimization (website design, SEO, GEO), and social media management. Services are delivered on a project or retainer basis as outlined in individual service agreements.

2. Client Obligations

By engaging GetShft, you agree to:

• Provide accurate and timely information required for service delivery
• Grant necessary access to platforms, accounts, and tools as agreed upon
• Review and approve deliverables within the timelines specified in your service agreement
• Ensure that any materials you provide do not infringe on third-party intellectual property rights

3. Payment Terms

Services are billed on a retainer basis unless otherwise specified in writing. Payment terms:

• Retainers are invoiced monthly, due within 14 days of invoice date
• Project-based work requires a 50% deposit before work begins, with the balance due upon completion
• Late payments may incur a 1.5% monthly fee on outstanding balances
• All prices are in USD unless otherwise agreed

4. Intellectual Property

Upon full payment, all deliverables created by GetShft for the client become the property of the client. This includes but is not limited to:

• Website designs, code, and content created specifically for your project
• Custom automation workflows and system configurations
• Social media content created on your behalf
• Marketing collateral and creative assets

GetShft retains ownership of proprietary tools, frameworks, templates, and methodologies used in the delivery of services. These are licensed for use within the client's project but may not be resold or redistributed.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, customer data, financial information, and system access credentials. This obligation survives termination of the service agreement.

6. Limitation of Liability

GetShft provides services on a best-effort basis. While we strive for measurable results, we cannot guarantee specific outcomes such as lead volumes, search rankings, or conversion rates, as these depend on factors outside our control.

To the maximum extent permitted by law, GetShft's total liability for any claim arising from services rendered shall not exceed the total fees paid by the client in the three (3) months preceding the claim. GetShft shall not be liable for indirect, incidental, consequential, or punitive damages.

7. Termination

Either party may terminate a retainer engagement with 30 days' written notice. Upon termination:

• Client is responsible for payment of all work completed up to the termination date
• GetShft will deliver all completed work product and provide reasonable transition support
• Access to GetShft's proprietary tools and systems will be revoked

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.

9. Modifications

GetShft reserves the right to update these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms. Material changes will be communicated to active clients via email.
